Standard Terms and Conditions of Sale March Limited

  1. Definitions
    1. ‘BUYER’ means the person, firm or company who buys or agrees to buy the Goods from the Seller.
    2. ‘SELLER’ March Limited.
    3. ‘CONDITIONS’ means the Terms and Conditions of Sale set out in this document and any special Terms and Conditions agreed in writing by a Director of the Seller.
    4. ‘GOODS’ means the products for which the Buyer agrees to buy from the Seller a licence to use those products.
    5. ‘PRICE’ means the price for the Goods as defined in clause 4 of these Conditions.
    6. ‘PRODUCT’ means any of the product packages described on this or any website owned by March Limited.
    7. ‘USER’ means either the direct buyer or the person who has received permission from the buyer to obtain an individual copy from multiple copies purchased by the buyer.
  2. Conditions Applicable
    1. These Conditions shall apply to all sales of Goods by the Seller to the Buyer to the exclusion of all other terms and conditions
    2. All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods governed by these conditions.
  3. The Goods
    1. Each product comprising the Goods is a training package designed to give guidance in a particular specified area. The use of the Goods will be specific to the requirements of the Buyer and may therefore require adaptation and amendment to fulfil the purpose of the Buyer.
    2. The licence to use the Goods is granted for the sole use of the Goods by the Buyer
    3. The Seller operates a policy of continual improvement and reserves the right to amend modify or withdraw any product without notice. For this reason any product may differ from similar products previously licensed from the Seller.
  4. Price
    1. The Price quoted by the Seller on this website shall include Value Added Tax (if stated).
    2. March Limited reserves the right to make a charge for delivery as appropriate for those products normally accessible by download where alternative means of delivery are requested.
    3. All prices quoted on Company promotional literature or on this website remain subject to fluctuation until an offer to purchase Goods is accepted by the Seller.
  5. Payment
    1. Payment of the Price by the Buyer to the Seller must be completed before any Goods are transferred or despatched.
    2. Payment shall be made by a debit or credit card acceptable to the Seller or by cheque. All cheques must clear before goods are released.
    3. The property in the Goods shall not pass from the Seller to the Buyer until cleared funds have been received into the Sellers chosen bank account in full settlement of the Price.
    4. Credit or debit card details will only be used for one transaction and any subsequent expenses arising from that transaction under these Conditions. Further transactions will necessitate the Buyer providing such details again.
  6. Delivery of the Goods
    1. After acceptance of an order and satisfactory payment arrangements by the Buyer and granting of the licence to use the Goods, the Goods will usually be available for installation following download by the Buyer or through an email attachment. In the event of an insoluble technical problem, preventing receipt as above by the Buyer, the Goods will normally be despatched by normal mail within 48 hours of acceptance of order by the Seller and payment received in full by the Seller.
    2. In the event of delivery by CD the Buyer is expected to inspect Goods on receipt and to report any damage or discrepancies within 48 hours of delivery. In the event of damage or other complaint the Buyer shall contact the Seller by email to resolve the issue identifying the problem.
    3. Whilst the Seller will take all reasonable precautions against viruses it will not accept responsibility for any loss or damage resulting from installation of the Goods, following receipt of the goods either by download or by e-mail attachment, and the Buyer should take normal precautions using anti-virus software to check for the presence of any computer virus before opening any file.
  7. Warranties and Liabilities
    1. As the adaptation and amendment referred to in clause 3 is beyond the control of the Seller, the Seller accepts no responsibility for the success or otherwise of any training, activity or project undertaken using the Goods.
    2. In some cases Goods which are alleged to be defective may be returned to the author of the product for their confirmation as to the acceptance of any complaint. The Seller will take all steps to expedite such investigations and notify the Buyer as quickly as possible as to the Sellers decision after taking such advice. The Buyers’ statutory rights will not be affected.
  8. Title to the Goods
    1. Property and the Goods shall not pass from the Seller to the Buyer until the Buyer shall have paid the price (including VAT as stated) and any carriage (as stated) in full.
  9. Copyright
    1. The Products and all the contents of this website, and others owned by March LImited, are the exclusive property of either March Limited or the respective authors and are protected by the copyright laws of England and international law.
    2. No part of this website or the Products, and others owned by March LImited, may be reproduced in any form, save for the personal use of the Buyer, without the prior written consent of the Seller.
    3. Buyers are not permitted without the prior written consent of the March Limited to incorporate any material contained in the Product in any other work or publication of any description. The granting or withholding of such consent shall be at the complete discretion of March Limited and if granted may be subject to restrictions or conditions.
    4. If prior written consent is given for the reproduction of any of the content of the website in any other work or publication, then such other work or publication shall not be made for any commercial gain, and shall include all appropriate credits for the author of the reproduced work.
    5. The product is for use by the purchaser (or intended user) and as such can not be shared, swapped or re-sold in either original form or in modified form.
    6. The product, either in original or modified form, may only be used for commercial gain by consent of March Ltd and after the payment of suitable fees. Fees can be discussed by contacting March Ltd.
  10. Refunds
    1. Where the Buyer is a consumer, (as defined by the Consumer Protection (Distance Selling) Regulations 2000) the Buyer shall be entitled to return the Goods in their original condition within 7 working days of delivery of the Goods and the Seller shall reimburse the price less the direct cost of recovering the Goods supplied.
    2. Refunds will be given at the discretion of the Seller under 10.a. hereof if the Goods have been modified or damaged or if more than 7 working days have expired after the day of delivery to the Buyer before notice of cancellation was given to the Seller.
    3. Additional details of refunds and guarantees may be given on individual websites and for individual products.
    4. All approved refunds will be instigated within 7 days of receipt of the Goods by the Seller and any refund may be made by way of reverse of the original payment method.
    5. Refunds may be subject to an additional cost of making the refund, for example non recoverable transaction or currency conversion fees. These will be removed from the refunded amount and identified.
    6. Where a refund in full is made under this clause the licence to use the goods terminates and the Buyer shall delete the Goods from any computer hard drives upon which they are saved or installed and destroy all copies, including floppy disks and CDs.
  11. Discounts
    1. At intervals March Ltd may sell new or existing products at discounted prices. All products sold at discount are covered by the refund policy above. However, during the discount offer period March Ltd will not give refunds on existing discounted products previously purchased at full price by those invited for discounts.
    2. Refunds on discounted products will be limited to the discount price.
    3. Refunds will not be made on an existing product, previously purchased at full price, if that same product is then purchased by the same individual at a discounted price.
  12. Jurisdiction
    1. All contracts under these Conditions are subject to the law of England and Wales.
    2. All disputes arising from any contract under these Conditions shall be subject to the jurisdiction of the courts of England and Wales.
